General Terms & Conditions (GTC)

We ship the products you have ordered on the basis of the General Terms & Conditions (GTC) presented below.

1. Scope; customer GTC’s, business customers
These GTC are applicable only as to transactions between Baltic Soap Susanne Bloos, Winterbeker Weg 26b, 24114 Kiel and the customer for purposes of the delivery of goods.
We do not recognise conditions on the part of the customer which contradict or deviate from our GTC. Our GTC are also applicable in cases where, with knowledge of conditions on the part of the customer which contradict or deviate from our GTC, we ship an order to the customer without reservation.

 

As to businesses, legal entities under public law or public law special funds (hereinafter referred to as “Businesses”), these GTC are also applicable with regard to all follow-on transactions with the customer even where they are not expressly referred to in each individual case.

 

If you place an order from abroad, we will send you these GTC following customer registration and in the case of each future update, in each case by e-mail, in both German and English.


2. Conclusion of a contract/delivery
The presentation of products in the online shop does not represent a legally binding offer but rather represents a non-binding online catalogue. Your order represents a binding offer to conclude a contract with us.

 

You will initially receive a confirmation of the receipt of your order by e-mail at the e-mail address you have provided (Order Confirmation). However, a purchase agreement is only concluded once the products are dispatched or once you have received an order confirmation by e-mail. This order confirmation contains these GTC including the cancellation policy and the text of the purchase agreement. You may access this e-mail at any time in your customer account and may read it or print it out.


When placing an order via our online shop, the order process contains a total of five steps. The first step consists of you selecting the products you want. The second step consists of you entering your customer information including the invoicing address and, where applicable, a separate delivery address. The third step consists of you selecting a method of payment. During the fourth step, you must review, where applicable, correct and thereafter approve all information (e.g. name, address, payment method, products ordered). We save the text of the purchase agreement related to your order. You may print this out prior to sending your order to us by clicking on “print” during step four. For the final step, you click on “Order and send” and send your order to us.

 

The prices at the time the order is received are applicable. All prices are final prices; in accordance with Section 19 (1) of the German Sales Tax Act (“UStG”), VAT is not charged. Please refer to the following overview regarding any applicable shipping costs, and for the cases in which there are no shipping costs:

In general, shipments are made within one week of receipt of the order via parcel post. There may be delays in the case of out-of-stock products with regard to which we will inform the customer immediately.

 

We may only fulfil orders in part in cases where the purchase agreement does not provide otherwise and where, in individual cases, partial performance does not unreasonably compromise the customer’s interests. We bear additional costs caused by partial delivery.


3. Cancellation policy for the consumer

You may cancel your order in writing (e.g. letter, fax, e-mail) within 14 days without providing a reason or – where the product has been sent to you prior to the expiry of this deadline – by returning the product. The cancellation period begins after receipt of this cancellation policy in writing, however not prior to the receipt of the goods by the recipient (in the case of recurring orders of the same goods, not before the receipt of the first partial shipment) and also not prior to the fulfilment of our information duties under Article 246 Section 2 in conjunction with Section 1 (1) and (2) Introductory Law to the German Civil Code (EGBGB), as well as our obligations under Section 312e (1) first sentence German Civil Code (BGB) in conjunction with Article 246 Section 3 EGBGB. Sending a cancellation or returning the goods is sufficient in order to adhere to the cancellation period. A notice of cancellation must be sent to:

Effects of cancellation

 

In cases of an effective cancellation, both parties must return any goods/services/funds provided by the other and, where applicable, must disburse any benefits realised (e.g. interest). If you cannot return what you have received in whole or in part, or can only make a return in a deteriorated condition, you must compensate us accordingly. The foregoing is not applicable in the case of the provision of goods where the deterioration in condition of the goods is exclusively due to their check – as would be the case were they in a store. Otherwise, you may avoid the obligation to provide compensation resulting from deterioration related to the proper use of the product by not using such product as your property and by refraining from anything that could impair its value.


Products which may
be sent by parcel post are to be returned at our risk. You must bear costs related to a return in cases where the goods delivered correspond with your order and where the price of the goods to be returned does not exceed € 40. You must also bear the costs of return in cases where the price exceeds € 40 and you have not provided compensation or have not made a contractually agreed instalment payment at the time of cancellation. In all other cases, the return is free of charge for you. Products which may not be sent by parcel post will be picked up from you. An obligation to refund a payment must be complied with within 30 days. In the case of the customer, the period begins when the notice of cancellation, or the goods, is/are sent and for us the period begins on receipt of the foregoing.

4. Warranty

Information contained in the online shop does not represent a warranty.


5. Liability
Claims for damages against the seller (these limitations also apply as to personal liability of its employees, staff, agents or assistants) are excluded in cases of a breach of a non-material duty under the contract caused by slight negligence. Material duties under the contract are such duties, the fulfilment of which renders the proper fulfilment of the agreement at all possible and the fulfilment of which the counterparty regularly relies upon and upon which it may regularly rely. Liability for a breach of material duties under the contract due to minor negligence is limited to damages typical and foreseeable under the contract. Except as provided in Section 438 (1) no. 2 BGB and in Section 634a (1) no. 2 BGB, claims for damages against us or our assistants related to a breach of a duty caused by minor negligence are time barred one year they arise. The foregoing liability exclusions and limitations do not apply in cases of a breach of a guarantee or in cases of fraudulent concealment of a defect within the meaning of Section 444 BGB, or in cases of injury to life, body or health, or as to claims relating to an obligation in existence prior to the contract. To the extent liability is based on the German Product Liability Act (Produkthaftungsgesetz - ProdHaftG), its provisions take precedence.

6. Payment
Goods are to be paid in advance, via immediate funds transfer, Paypal or direct debit (an invoice is enclosed with the shipment). A cash discount is not available. In order to cover the credit risk, we must, in accordance with a customer’s respective creditworthiness, reserve the right to complete an order you have requested only on advance payment. Delivery using the direct debit process is only available up to a total order value of €_____ including shipping costs. The amount is debited when the goods leave our warehouse.

7. Reservation of title
We retain title to the goods until payment is made in full.

8. Data privacy
We collect, store and process data upon the initiation, conclusion, processing, and cancellation of a purchase agreement in accordance with applicable legal provisions.

The IP address currently used by your computer, the date and time, the type of browser, your computer operating system as well as the pages you have visited are recorded when visiting our website. However, inferences as to personal data are not possible and are not intended by us.

Personal data which you provide to us – e.g. in connection with an order or via e-mail (e.g. your name and contact information) – are only used for purposes of communicating with you and are only used for the purpose for which you have provided us with such information. We provide your information to the shipping company hired to ship your order only to the extent necessary for delivery. For payment settlement purposes, we provide your payment information to the financial institution through which payment is to be made.

We affirm that we do not otherwise provide your personal data to third parties, unless we are required to do so by law or unless you have expressly consented thereto in advance. The terms of the German Data Protection Act (Bundesdatenschutzgesetz – BDSG) are complied with to the extent we employ third parties for purposes of processing and/or fulfilling orders.

Data retention
Personal data provided to us via our web site is only retained until the purpose for which such information was provided has been fulfilled. To the extent commercial and/or tax law retention terms must be complied with, certain data may be retained for up to ten years.

Your rights
In the event you no longer consent to the storage of your personal data or such data is no longer correct, we will, upon the receipt of relevant notice, initiate the deletion, correction or blocking of your data in accordance with applicable legal requirements. Upon request, you may receive information regarding all personal data we have retained regarding you free of charge. 9. Choice of law and place of jurisdiction

German law applies exclusively. The UN Convention on the International Sale of Goods is not applicable. This choice of law is only applicable to a consumer where it does not result in the limitation of any mandatory statutory provisions of the country in which such consumer is domiciled or has his/her regular place of abode. In the case of Businesses, the place of jurisdiction is exclusively agreed to be Kiel, Germany. We may avail ourselves of such venue or of any other legal venue.

In the event goods which have been delivered show obvious signs of transportation damage, we request that you immediately report such damage to the shipping company. In the event you do not report such damage your rights remain unaffected. In the event you do report any damage, you are doing us a favour, as we may more easily make insurance claims against the shipping company.
